Terms of Service

These Terms of Service ("Terms") govern your access to and use of the flizz.ai marketing automation service, website, and related applications (collectively, the "Service"). The Service is operated by JMR Capital ApS, a company registered in Denmark under company registration (CVR) number 41595868, with its registered office at Automatikvej 1, 2860 Søborg, Denmark ("flizz.ai", "we", "us", or "our"). By creating an account or using the Service, you ("Customer", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
1. Definitions
In these Terms, capitalised terms have the meanings set out below.
- "Service" means the flizz.ai platform, website, APIs, and related applications that connect to your Shopify store and Klaviyo account to generate, deploy, and optimise marketing flows, forms, templates, and campaigns.
- "Customer Data" means data you provide to, or that we access on your behalf through, the Service — including brand assets and store configuration. Your end-customers' personal data resides in your own Klaviyo account; flizz.ai reads from and writes to that account to operate the Service but does not store your end-customers' personal data in its own systems.
- "Protected Customer Data" means personal data of your end-customers (for example, customer name, email address, phone number, shipping/billing address, and order data), as defined under Shopify's Protected Customer Data requirements. flizz.ai requests only the nine minimum-necessary, non-Protected-Customer-Data scopes (store and brand config, products, theme/brand assets, locales, metaobjects, and discounts) and does not access any Protected Customer Data.
- "Account Data" means data relating to your own account — merchant account holders, billing contacts, authentication identities, product-usage and security logs — for which flizz.ai acts as a controller under the Privacy Policy.
- "Connected Platforms" means the third-party services you connect to the Service, namely Shopify and Klaviyo.
- "Subprocessor" means a third party engaged by flizz.ai to process personal data on our behalf in order to provide the Service.
- "AI Output" means the marketing copy, templates, segments, and recommendations generated by the AI features of the Service.
- "DPA" means the Data Processing Addendum available at flizz.ai/dpa, which forms part of these Terms.
2. The Service
flizz.ai provides an AI-assisted platform that connects to your Shopify store and Klaviyo account to generate, deploy, and optimise email and marketing automations, templates, flows, forms, and campaigns on your behalf. The Service operates entirely server-side through the Shopify and Klaviyo APIs; it does not collect data directly from your end-customers' browsers. We may update, enhance, or modify features of the Service from time to time.
3. Eligibility and accounts
The Service is intended for business use by merchants and their authorised personnel. Sign-in is passwordless: we send a one-time code or magic link to your account email address, so there is no account password. You are responsible for maintaining control of, and the security of, the email inbox used to sign in, and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date.
4. Connected platforms
To use the Service you will authorise flizz.ai to access your Shopify and Klaviyo accounts through their respective APIs. By connecting your Shopify and Klaviyo accounts you instruct flizz.ai to access and exchange data with those platforms on your behalf, in accordance with their respective terms. Your use of those platforms is governed by their own terms; flizz.ai is not responsible for the availability, accuracy, or actions of the Connected Platforms.
5. Customer responsibilities
You are responsible for the content you provide and the marketing communications sent through the Service, including ensuring that you have a lawful basis and any required consent to contact your subscribers. You agree to use the Service in compliance with all applicable laws, including data-protection, anti-spam, and consumer-protection laws, and not to use the Service to send unlawful, deceptive, or harmful content.
6. Acceptable use and anti-spam
Because the Service supports email and SMS marketing, you agree to the following acceptable-use and anti-spam rules:
- You will only send marketing communications to recipients who have given valid, demonstrable opt-in consent in accordance with applicable law.
- You will not use purchased, rented, harvested, or otherwise non-consensually obtained contact lists.
- You will identify yourself accurately as the sender, provide a working unsubscribe mechanism, and promptly honour unsubscribe and opt-out requests.
- You will comply with channel-specific rules, including SMS content restrictions (for example, the SHAFT rules on sex, hate, alcohol, firearms, and tobacco in the US and Canada) where applicable.
You further agree not to: (a) reverse engineer, copy, or resell the Service except as permitted by law; (b) interfere with or disrupt the integrity or performance of the Service; (c) attempt to gain unauthorised access to the Service or related systems; or (d) use the Service to violate the rights of others or any applicable law. We may suspend or terminate access for breach of this section.
7. Fees and billing
Access to paid features is subject to the fees and billing cycle presented at sign-up or in an order form. Where you install the Service through the Shopify App Store, billing may be handled via Shopify Managed Pricing and charged through your Shopify account. Unless stated otherwise, fees are exclusive of taxes, are non-refundable except as required by law, and recur automatically until cancelled. We may change pricing on prospective notice.
8. Intellectual property and Customer Data
The Service, including its software, models, and underlying templates and strategies, is and remains the property of flizz.ai and its licensors. You retain ownership of your own content, brand assets, and Customer Data. You grant flizz.ai a limited, non-exclusive licence to process that content solely to provide and improve the Service for you. Anonymised and aggregated insights about which marketing approaches perform well may be used to improve the Service across our network, as further described in our Privacy Policy and DPA. A merchant's customer data is never shared between stores; your end-customer data stays isolated in your own Klaviyo account, and only anonymised, aggregated patterns (strategies and templates) are shared across the network.
9. AI features
The Service uses AI systems, including third-party AI providers (OpenAI, Anthropic, and Google — our "AI Subprocessors"), to generate marketing copy, templates, segments and recommendations ("AI Output"). You own AI Output relating to your store and are responsible for reviewing and validating it before use; similar AI Output may be generated for other users. By design, only brand, store and product information and merchant-authored marketing copy are sent to our AI subprocessors to generate templates and copy; your customers' personal records (names, email addresses, order details) are not part of these flows and are not sent to AI providers. We do not use your data, or your customers' data, to train AI models, and we contractually require our AI Subprocessors not to train on it. The AI features are intended as minimal-risk tools under Regulation (EU) 2024/1689 (the EU AI Act).
10. Data protection
Our processing of personal data is governed by our Privacy Policy and, for personal data processed on your behalf, our DPA, which is incorporated into and forms part of these Terms. For your end-customers' personal data, you act as the controller and flizz.ai acts as the processor. Account Data that flizz.ai processes for its own purposes is governed by our Privacy Policy, not the DPA; flizz.ai is the controller of that Account Data.
11. Shopify API Terms compliance
We comply with Shopify's API License and Terms of Use. flizz.ai requests only nine minimum-necessary, non-Protected-Customer-Data scopes and does not access any Shopify customer or order data, so the Service processes no Protected Customer Data. flizz.ai does not sell, rent, or transfer Merchant Data to third parties as a primary purpose or otherwise, except to authorised Subprocessors acting solely on our behalf under written terms at least as protective as Shopify's. Each Subprocessor may use the data solely to provide services to flizz.ai and may not use it for any unrelated purpose.
12. Service availability
We strive to keep the Service available and reliable but do not guarantee uninterrupted operation. We may perform maintenance, and the Service may be affected by factors outside our control, including Connected Platform outages.
13. Warranties and disclaimers
Except as expressly stated, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. AI Output may contain inaccuracies and must be reviewed before use. We do not warrant any particular marketing outcome or revenue result.
14. Limitation of liability
To the maximum extent permitted by law, flizz.ai will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to flizz.ai in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnification
You agree to indemnify and hold flizz.ai harmless from claims, damages, and expenses arising from your content, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.
16. Term and termination
These Terms remain in effect while you use the Service. Either party may terminate for material breach that remains uncured after reasonable notice. You may stop using the Service and disconnect your accounts at any time. Because we do not retain your customers' personal data in our own systems, there is no stored shopper data for us to erase on uninstall; on Shopify's shop/redact webhook (sent ~48 hours after uninstall) we delete the stored Shopify access credentials and connection record, and the encrypted access token is also revoked immediately on uninstall. We otherwise handle your Customer Data as set out in the DPA.
17. Governing law and jurisdiction
These Terms are governed by the laws of Denmark, without regard to conflict-of-laws rules. The courts of Denmark will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have under the law of your country of residence.
18. Changes to these Terms
We may update these Terms from time to time. We will post the revised version on this page and update the "Last updated" date. Material changes will be communicated through the Service or by email, and your continued use after the changes take effect constitutes acceptance.
